Credifi Broker Assistant – Terms of Use
Effective Date: 30/04/2025
These Terms of Use (Terms) govern your access to and use of the Credifi Broker Assistant platform (Platform), a product of Credifi Pty Ltd (ACN 686 168 374) (Credifi, we, us, or our). By using the Platform, you (Subscriber, User, you, your) acknowledge and agree to these legally binding Terms. If you do not agree to these Terms, you must not access or use the Platform.
1. SUBSCRIPTION AND ACCESS
1.1 Agreement and Access
(a) These Terms constitute a binding legal agreement between you and Credifi Pty Ltd.
(b) Only Subscribers or authorised Users with an active Subscription may access the Platform.
(c) By registering or using the Platform, you confirm that you have authority to act on behalf of your business and that you are not a competitor using the Platform for competitive analysis.
1.2 License to Use
(a) We grant you a limited, non-exclusive, revocable, and non-transferable license to use the Platform in accordance with your Subscription Plan.
(b) You must not sub-license, resell, or make the Platform available to unauthorised third parties.
1.3 Support
Support is available to authorised Subscribers and Users only and subject to identity verification. Support channels are listed on our website.
2. USE OF THE PLATFORM
2.1 Subscriber Responsibilities
You agree to:
Maintain up-to-date contact and billing information.
Manage and monitor all Users under your Subscription.
Pay applicable Subscription fees.
Ensure that data uploaded is accurate and anonymised; no personally identifiable client data or lender data may be uploaded without appropriate authority.
Back up your Subscriber Data and retain business records outside of the Platform.
Ensure the Platform is suitable for your specific business purposes.
Acknowledge that the Platform is a support tool only and must not be relied upon as a substitute for your own professional judgment or lender confirmation.
Comply with all relevant laws, including the Privacy Act 1988 (Cth), the Corporations Act 2001 (Cth), and ASIC obligations, where applicable.
2.2 Prohibited Use and Content
You must not:
Share login details or credentials with unauthorised parties.
Use the Platform for unlawful or fraudulent activity.
Upload or attempt to upload confidential information from banks, lenders, aggregators, or other institutions without written permission.
Introduce malware, spam, or reverse-engineer any part of the software.
Upload any content that violates intellectual property, privacy rights, or contains unredacted personal or credit data.
Harass, abuse, or threaten our staff or other Platform Users.
Use the Platform to provide, or hold yourself out as providing, credit advice or legal advice.
3. SUBSCRIPTION, FEES AND TERMINATION
3.1 Subscription and Pricing
Subscription Plans and pricing are available on our website. Credifi may amend pricing with reasonable notice.
3.2 Payment
Fees must be paid in advance unless otherwise agreed. You authorise us to charge your nominated payment method for recurring charges.
3.3 Suspension and Termination
We may suspend or terminate access to the Platform without notice if:
You breach these Terms;
Your payment fails or is overdue;
We suspect unlawful use or misconduct.
You may cancel your Subscription at any time, but no refunds will be issued for unused portions of the billing cycle.
3.4 Data Access After Termination
It is your responsibility to export your Subscriber Data before your account is closed. After termination, your data may be permanently deleted unless retention is required under Applicable Law.
4. PRIVACY, SECURITY AND DATA USE
(a) Credifi collects and processes Personal Information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy.
(b) You must not upload client information that includes TFNs, identity documents, unredacted personal information, or lender-sourced documents without proper consent or authorisation.
(c) You are solely responsible for verifying that any material uploaded (e.g. lender policy documents, credit guides, or internal resources) does not breach any third-party confidentiality, copyright, or misuse obligations.
(d) Any unauthorised use, storage, or sharing of lender data is strictly prohibited. Credifi disclaims all liability for misuse or illegal upload of such content.
(e) Credifi will take reasonable steps to protect your data, but makes no guarantees against data loss due to events outside its control (e.g., third-party breaches, force majeure, or service interruption).
5. DISCLAIMERS AND LIMITATION OF LIABILITY
5.1 General Disclaimer
The Platform is provided “as-is” and “as available.” While we take reasonable care, we do not warrant that the Platform will meet your requirements, be error-free, or uninterrupted. Beta or experimental features may contain errors or be withdrawn without notice.
5.2 No Advice Provided
Credifi does not provide legal, financial, credit, or tax advice. Any material generated by the Platform is general in nature and must be verified by you before being used to support any loan application or business decision. You acknowledge that:
The Platform is an assistant tool, not a definitive credit decision system.
You must independently confirm outputs with relevant lenders or professionals before relying on them.
The Platform does not hold an Australian Credit Licence and does not offer credit assistance under the National Consumer Credit Protection Act 2009 (Cth).
5.3 Director and Company Liability Limitation
To the extent permitted by law:
Credifi Pty Ltd and its directors, officers, employees, and agents are not liable for any loss, damage, or liability resulting from misuse, misinterpretation, or unauthorised use of the Platform.
In no event will our aggregate liability exceed the total Subscription fees paid by you in the 3 months preceding the claim.
You agree to indemnify and hold harmless Credifi and its directors from all third-party claims arising from data misuse, breach of law, or unauthorised uploads.
6. INTELLECTUAL PROPERTY
(a) All intellectual property in the Platform, including software, documentation, and content, remains the exclusive property of Credifi Pty Ltd or its licensors.
(b) You retain ownership of your Subscriber Data, provided it is lawfully uploaded.
(c) You must not reproduce or use Credifi branding or intellectual property without written consent.
7. CHANGES TO TERMS
We may update these Terms at any time. You will be notified of material changes, and continued use after the update constitutes acceptance of the new Terms.
8. DEFINITIONS
Applicable Law – any laws or regulations in Australia.
Platform – the online tools and features provided under the Credifi Broker Assistant.
Subscriber – the account holder or entity purchasing access.
User – any person authorised by a Subscriber.
Subscriber Data – data uploaded by the Subscriber or Users.
Personal Information – has the meaning given under the Privacy Act 1988 (Cth).
Intellectual Property Rights – includes all copyright, trade marks, software, branding, and trade secrets.
9. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws in force in the Commonwealth of Australia, including all applicable State and Territory laws.
You agree that any disputes, claims, or legal proceedings arising out of or relating to these Terms, your use of the Platform, or any associated matter shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia, and any courts competent to hear appeals from those courts.
Nothing in this clause limits your rights under any applicable consumer protection law in your State or Territory of residence.

END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("EULA") is a legal agreement between you (the individual or entity) and Credifi Pty Ltd ("Credifi", "we", "us", or "our") governing your use of the Credifi Broker Assistant Software ("Software").
By accessing, downloading, installing, or using the Software, you agree to comply with and be bound by the terms of this EULA.
1. License Grant
Subject to your compliance with this EULA, Credifi grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your personal or internal business purposes. You may not sublicense, distribute, lease, rent, or otherwise transfer your rights to the Software.
2. Restrictions
You shall not:
Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.
Remove, alter, or obscure any proprietary notices on the Software.
Use the Software for unlawful purposes or activities that breach Australian laws or regulations.
Distribute, sell, lease, or commercially exploit the Software or its content in any manner not explicitly authorized by Credifi.
3. Intellectual Property Rights
All rights, title, and interest in the Software, including but not limited to intellectual property rights, remain exclusively with Credifi. This EULA does not convey any ownership rights to you. Credifi retains all rights not expressly granted herein.
4. User Obligations
You agree to:
Ensure that all information provided to Credifi or entered into the Software is accurate, lawful, and does not infringe any third-party rights.
Keep your account credentials confidential and notify us immediately of any unauthorized use or breach of security.
5. Privacy and Data Protection
Your use of the Software is subject to Credifi’s Privacy Policy, available on our website. Credifi will manage personal and confidential information in compliance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
6. Warranty Disclaimer
The Software is provided "as is" and "as available" without warranties of any kind, express or implied. Credifi disclaims all warranties, including without limitation, warranties of merchantability, fitness for a particular purpose, and non-infringement. Credifi does not warrant that the Software will meet your requirements or that its operation will be uninterrupted or error-free.
7. Limitation of Liability
To the maximum extent permitted by Australian law, Credifi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Software. Credifi’s total liability under this EULA will not exceed the total fees paid by you to Credifi during the 12-month period immediately preceding the claim.
8. Indemnity
You agree to indemnify and hold Credifi, its directors, employees, agents, and affiliates harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Software, your violation of this EULA, or infringement by you of any third-party rights.
9. Termination
Credifi may terminate this EULA immediately if you breach any of its terms. Upon termination, all licenses granted hereunder will immediately cease, and you must stop using the Software and delete all copies in your possession.
10. Governing Law and Jurisdiction
This EULA shall be governed by and construed in accordance with the laws of Queensland, Australia. You agree to submit to the exclusive jurisdiction of the courts located within Queensland, Australia, for any disputes arising from this EULA.
11. Amendments
Credifi reserves the right to modify this EULA at any time. Any modifications will be effective immediately upon posting an updated version on Credifi’s website. Continued use of the Software after modifications constitutes acceptance of the revised EULA.
12. General Provisions
Entire Agreement: This EULA constitutes the entire agreement between you and Credifi relating to the Software.
Severability: If any provision of this EULA is deemed invalid or unenforceable, the remainder of this EULA remains valid and enforceable.
Waiver: No waiver of any breach of this EULA shall be deemed a waiver of any subsequent breach.

5. Professional Reliance Disclaimer
The Credifi Finance Platform is intended as a workflow and analysis support tool only.
The Platform does not provide:
